Terms of Service

Effective Date: January 1st, 2026

These Terms of Service ("Terms") govern access to and use of the Teisoft Partner Portal, which is operated by Teisoft LLC ("Teisoft," "we," "us," or "our"). By accessing or using the Partner Portal, you agree to these Terms. If you do not agree, do not use the Partner Portal.

1. About Teisoft

Teisoft LLC is a Florida limited liability company that provides cybersecurity technology and services, including the Teisoft Exposure Platform, penetration testing, and managed web security services. The Partner Portal is the private application through which authorized referral partners promote Teisoft services, generate tracked referral links, follow visits and sales, and reconcile commissions with Teisoft.

2. Purpose of the Partner Portal

The Partner Portal allows authorized partners to:

  • Create and manage tracked referral links for authorized Teisoft services.
  • See visit, engagement, and conversion statistics attributable to their links.
  • Follow the commercial status of individual and mass referrals.
  • See their commission balance and payment history.
  • Receive service-related notifications from Teisoft.

The Partner Portal is a business tool. It does not itself grant any right to sell, resell, sublicense, or bind Teisoft in any way.

3. Eligibility and account

Access to the Partner Portal is granted by Teisoft to identified individuals designated by a referral partner organization. You represent that you are at least 18 years old, that any information you provide is accurate, and that you are authorized to act on behalf of the partner organization you represent.

You are responsible for keeping your credentials confidential, enabling multi-factor authentication when offered, and notifying Teisoft promptly of any suspected unauthorized access. Teisoft may suspend or terminate an account when reasonably necessary to protect the Portal, other users, customers, or Teisoft.

4. Referral and commission model

Commissions are earned only for sales that Teisoft closes with an end customer and that Teisoft attributes to a partner in accordance with the applicable partner agreement. A visit, form submission, entry, or open opportunity is not, by itself, a commission-generating event.

Commission percentages, service eligibility, minimum thresholds, exclusions, and payment cadence are defined in the applicable partner agreement or in a service-specific schedule accepted by the partner. When a service is closed as Won, the commission percentage in effect for that partner and service at the time of closing is captured as a snapshot on the sale record and is not retroactively modified by later changes.

Teisoft may adjust, cancel, or reverse a commission when the underlying sale is later voided, refunded, disputed in good faith by the customer, or discovered to have been generated by fraud, manipulation, or activity that violates these Terms.

5. Payments

Payments to partners are made in the manner and on the cadence stated in the applicable partner agreement. Payment records shown in the Partner Portal are informational; the authoritative reference for any dispute is the payment documentation Teisoft maintains internally.

Partners are solely responsible for any taxes, withholdings, filings, or reporting associated with commissions they receive, including provision of any required tax documentation to Teisoft.

6. Permitted use

You may use the Partner Portal only for lawful business purposes related to the promotion of Teisoft services under an active partner arrangement.

You may not:

  • Attempt to gain unauthorized access to the Portal, another partner's data, customer data, or connected systems.
  • Test, scan, probe, exploit, or assess the Portal without Teisoft's written authorization.
  • Circumvent authentication, access controls, rate limits, or security mechanisms.
  • Introduce malware, malicious code, automated attacks, or disruptive traffic.
  • Generate artificial visits, self-referrals, incentivized clicks, cookie stuffing, click injection, or any other activity designed to trigger commission events without a genuine customer intent to purchase.
  • Misrepresent your identity, your organization, your relationship with Teisoft, or the nature of a Teisoft service.
  • Publish tracked links in a context that is defamatory, unlawful, sexually explicit, discriminatory, deceptive, or otherwise incompatible with the Teisoft brand.
  • Send unsolicited commercial email ("spam") or make communications that fail to comply with applicable anti-spam and telemarketing laws.
  • Scrape, copy, or export Portal content through unreasonable or abusive automated means.
  • Copy, modify, distribute, or commercially exploit Portal content, code, or design except as expressly permitted.
  • Interfere with the availability, integrity, or operation of the Portal.

Good-faith security research must comply with Teisoft's Vulnerability Disclosure Policy.

7. Confidentiality of Portal data

The Partner Portal may expose non-public information about referrals, customer identifiers, commercial status, commission amounts, payment history, and business metrics. You will treat that information as confidential, use it only to perform the partner relationship, and disclose it only to individuals within your organization who need it to perform that role and are bound by equivalent confidentiality obligations.

8. Intellectual property

The Partner Portal — including its design, text, graphics, software, product names, service names, trademarks, reports, methodologies, documentation, and other content — is owned by Teisoft or its licensors and is protected by applicable intellectual-property laws.

Teisoft grants you a limited, revocable, nonexclusive, nontransferable right to access the Portal for the sole purpose of performing your role as an authorized referral partner. No right or license is granted except as expressly stated.

Use of Teisoft names, logos, product marks, and marketing assets in your own materials must follow any brand guidelines Teisoft makes available and any restrictions stated in the applicable partner agreement.

9. User submissions and feedback

Information you submit through the Portal must be accurate and must not infringe third-party rights. Do not submit passwords, production credentials, private cryptographic keys, regulated personal information, exploit code, or sensitive customer data through general Portal forms.

If you provide suggestions or feedback concerning the Portal, platform, or services, Teisoft may use that feedback without restriction or compensation, provided that Teisoft does not identify you publicly without permission.

10. Third-party services and links

The Portal may link to third-party websites, technologies, integrations, or services (including the tracking pixel installed on teisoftllc.com). Teisoft does not control and is not responsible for third-party content, security, availability, terms, or privacy practices. A link does not constitute endorsement unless expressly stated.

11. No security or commercial guarantee

Cybersecurity risk cannot be eliminated completely. The Portal, its content, and the underlying attribution and reporting features do not guarantee that:

  • Every visit or interaction generated by a partner will be captured, attributed, or converted.
  • A specific commercial outcome or level of commission will be achieved.
  • Teisoft will accept any particular referral or close any particular deal.
  • The Portal will operate without interruption.

Specific commitments are governed exclusively by the applicable partner agreement.

12. Portal availability

Teisoft may modify, suspend, restrict, or discontinue any portion of the Portal at any time. Teisoft does not guarantee uninterrupted availability, error-free operation, or permanent availability of any Portal feature.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PARTNER PORTAL AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TEISOFT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEISOFT AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF THE PARTNER PORTAL.

TEISOFT'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE PARTNER PORTAL WILL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO THE AFFECTED PARTNER OVER THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY LAW.

This section does not modify any liability provision contained in a separately executed partner agreement.

15. Indemnification

You agree to defend and indemnify Teisoft against third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Portal, your violation of these Terms or the applicable partner agreement, your infringement of third-party rights, or content or information you submit through the Portal. This obligation does not apply to the extent a claim results from Teisoft's own unlawful conduct.

16. Termination

Teisoft may suspend or terminate your access to the Portal at any time, with or without cause, when reasonably necessary to protect the Portal, other users, customers, Teisoft, or the integrity of the referral program.

On termination, your right to access the Portal ends immediately. Accrued but unpaid commissions attributable to genuine sales already closed by Teisoft will continue to be paid in accordance with the partner agreement. Provisions of these Terms that by their nature should survive termination — including confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will survive.

17. Privacy

Teisoft's collection and use of personal information through the Portal is described in the Teisoft Privacy Policy.

18. Changes to these Terms

Teisoft may update these Terms periodically. The revised Terms will be posted with a new effective date. Material changes may also be communicated through the Portal, email, or another appropriate channel. Continued use of the Portal after the effective date of revised Terms constitutes acceptance of the revised Terms.

19. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless prohibited by applicable law or superseded by a separate partner agreement, disputes relating to these Terms will be brought in the state or federal courts located in Broward County, Florida, and each party consents to their jurisdiction.

20. General provisions

If a provision is found unenforceable, it will be modified only to the extent necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver.

You may not assign your rights under these Terms without Teisoft's written consent. Teisoft may assign these Terms as part of a merger, reorganization, sale, or transfer of its business or assets.

These Terms, together with the applicable partner agreement, the Privacy Policy, and the Legal Notice, constitute the entire agreement between you and Teisoft concerning the Partner Portal.
